1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Niro Digital d.o.o. ("Company," "we," "us," or "our") concerning your access to and use of the Reviewed platform and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Reviewed is a reviews and ratings platform that allows businesses to:

• Collect customer reviews and ratings through our SDK and API
• Manage and moderate reviews via a dashboard
• Display reviews on their websites and applications
• Analyze review data and customer sentiment
• Receive notifications about new reviews

3. Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Submit fake, misleading, or fraudulent reviews
• Harass, abuse, or harm another person
• Transmit spam, malware, or other harmful content
• Attempt to gain unauthorized access to the Service
• Interfere with the proper functioning of the Service
• Scrape or collect data without authorization
• Use the Service for any illegal or unauthorized purpose

5. Content Ownership and License

5.1 Your Content

You retain ownership of all content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Service.

5.2 Review Content

Reviews submitted through your account belong to you. You are responsible for ensuring you have the right to collect and display such reviews and that they comply with applicable laws.

5.3 Our Content

The Service and its original content (excluding content provided by users), features, and functionality are owned by Niro Digital d.o.o. and are protected by copyright, trademark, and other intellectual property laws.

6. API and SDK Usage

When using our API and SDK, you agree to:

• Comply with our API documentation and guidelines
• Keep your API credentials secure and confidential
• Not exceed rate limits or abuse the API
• Display proper attribution when required
• Not use the API to create a competing service

We reserve the right to suspend API access for violations of these terms.

7. Payment Terms

If you subscribe to a paid plan:

• You agree to pay all fees associated with your chosen plan
• Fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• Failure to pay may result in service suspension

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any loss or damage resulting from service unavailability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Non-infringement of third-party rights
• Security or error-free operation

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIRO DIGITAL D.O.O. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify and hold harmless Niro Digital d.o.o., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time:

• You may close your account at any time through the dashboard
• We may suspend or terminate access for Terms violations
• Upon termination, your right to use the Service ceases immediately
• We may retain certain data as required by law or for legitimate business purposes

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Slovenia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
